Terms and Conditions for NetPurl

1. Introduction
By contacting NetPurl and confirming a project order, you agree to all the terms and conditions outlined below. These terms govern all aspects of our web development, digital marketing services, payments, and interactions.

2. Web Development Terms and Conditions

2.1 Payment Terms

• Advance Payment:
  Clients are required to pay 50% in advance before the design and development process begins. The remaining 50% must be paid upon project completion and prior to final handover.
• Non-Refundable Payment:
  The 50% advance payment is non-refundable if the client decides to terminate the project after signing the contract.
• Prototype Payment:
  Prototypes will only be shown once the advance payment is made. We typically provide one prototype, with additional prototypes offered if specified in the contract.

2.2 Design and Development Process

• Design Finalization:
  The client must finalize the design of the website within the first week of the design phase. Delays may affect the project timeline.
• Feature Development:
  Features specified in the proposal will be included. Any additional features requested by the client during development will be charged as extra.
• Maintenance Services:
  NetPurl offers six months of free maintenance for existing features after the website launch. Any further maintenance after this period will be charged separately.

2.3 Intellectual Property Rights

• Ownership:
  Once full payment is made, the intellectual property rights for the developed website will be transferred to the client, excluding any third-party materials which remain licensed as per the provider’s terms.

3. Digital Marketing Terms and Conditions

3.1 Payment Terms

• Advance Payment:
  All digital marketing services, including SEO, are billed monthly in advance.
• Non-Refundable:
  SEO payments are non-refundable once services begin.

3.2 SEO Services

• Campaign Charges:
  Any additional costs for SEO campaigns, such as PPC, CPC, or AdSense, are to be borne by the client. NetPurl will charge a separate fee for managing these campaigns.
• SEO Results:
  SEO results depend on the keywords agreed upon in the proposal. Additional keywords will require a new contract or extra charges. NetPurl does not guarantee specific rankings due to search engine algorithm changes.
• Content Creation:
  Blogs and articles for SEO purposes are included in the package. However, additional content creation for website pages will be charged separately.

3.3 Client Responsibilities

• Website Errors:
  NetPurl is not responsible for fixing errors on websites developed by other companies, particularly when such errors affect SEO results.
• Algorithm Changes:
  NetPurl is responsible for managing search engine algorithm changes during the contract period. After the contract ends, NetPurl will not be liable for ranking drops due to future algorithm changes.

4. General Terms for All Services

4.1 Confidentiality
Both parties agree to keep all shared confidential information secure. Confidential information will not be disclosed to third parties without written consent from the other party.

4.2 Client Obligations

• Providing Information:
  The client agrees to provide all necessary content, documentation, and access to systems for NetPurl to deliver services effectively.
• Access to Analytics:
  The client must provide access to website analytics and data required to monitor and optimize performance.

5. Termination

• Termination by NetPurl:
  NetPurl reserves the right to terminate the contract if the client fails to make payments as agreed.
• Termination by Client:
  The client may terminate the contract with written notice if NetPurl breaches any material obligations.

6. Data Protection
NetPurl complies with all applicable data protection laws in handling client personal data. The client agrees to provide personal data to NetPurl legally and with required consent.

7. Limitation of Liability
NetPurl will not be liable for indirect or consequential damages, including loss of profits, revenue, or data, except as required by applicable law.

8. Amendments
NetPurl may update these terms and conditions as necessary. Any updates will be communicated to the client, and the latest version will always be available on our website.
